User Terms and Conditions

Welcome to IGPT. The following User Terms and Conditions (the "Terms") govern your use of IGPT, including our mobile applications, websites, application programming interfaces (APIs), developer platform, services, and software (collectively, the "Services"), provided to you by Spikenow Ltd. ("we," "us," or "Company"). Please read these Terms carefully before using the Services. By accessing or using IGPT, you agree to be bound by these Terms and our Privacy Policy, which explains how we collect and use your information.

If you are using IGPT on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to do so. In such cases, "you" refers to that organization.

What is IGPT

IGPT (Intelligent GPT) is a sophisticated, secure, and context-aware artificial intelligence engine designed to transform how you interact with your data. IGPT connects to your designated information sources- including email accounts, cloud storage, calendars, document repositories, communication platforms, and other systems you explicitly authorize, and converts this information into clear, actionable, privacy-protected intelligence.

When you connect your data sources to IGPT, you authorize us to:

• Securely access, process, and analyze the information and data you explicitly designate
• Store your access credentials securely to maintain connections to your data sources, or use authentication methods that avoid storing credentials where supported by your data providers
• Temporarily process and store your data on our secure servers and through trusted third-party AI service providers to deliver IGPT's functionalities

We process your information temporarily and securely to enable fast access to insights most important to you and to provide you with the full range of IGPT functionalities. The quality and relevance of IGPT's responses depend on the data sources you provide, the permissions you grant, and the clarity of your requests.

Important Notice: You acknowledge and understand that some data processed through IGPT may be stored temporarily and may be subject to deletion after a specified period. We will not be liable for any data loss resulting from the passage of time or standard data retention practices.

User Obligations

By registering for and using IGPT, you agree to provide accurate and complete information at all times, assume full responsibility for all activity occurring under your account, maintain the confidentiality and security of your passwords and access credentials, and promptly notify us if you become aware of any unauthorized access to your account or the Services.

You must be able to form a legally binding contract with us under applicable law. You may use IGPT only in compliance with these Terms and all applicable laws and regulations.

You agree to use IGPT responsibly and in accordance with these Terms. You agree not to, and will not permit others to:

• Violate any applicable law or regulation; violate the privacy of others; defame, disparage, harass, or harm others; or use IGPT for any illegal, fraudulent, or abusive purpose
• Use IGPT to generate content that is unlawful, harmful, fraudulent, defamatory, abusive, hateful, or that infringes on intellectual property or other rights; misrepresent AI-generated content as human-generated when it was not; or use IGPT for generating prohibited or malicious content
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services, our systems, or other users' accounts; circumvent or bypass any usage limitations, security measures, or protective features we have implemented
• Attempt to access another user's account without authorization, or access your account using methods other than the interfaces and instructions we provide
• Automatically or programmatically extract data or Output from the Services using scrapers, bots, or other automated means, except as expressly permitted through authorized APIs and interfaces
• Send, upload, transmit, or process viruses, malware, trojans, worms, ransomware, or any other harmful, destructive, or malicious code through the Services; or use IGPT to generate or distribute malware, facilitate cyberattacks, or create exploits
• Breach or circumvent security or authentication measures; probe, scan, or test any system or network for vulnerabilities; or access data or systems you are not authorized to access
• Publish, generate, or distribute fraudulent, misleading, or deceptive content; engage in spoofing, phishing, or identity misrepresentation; or impersonate any person or entity
• Send or facilitate the sending of unsolicited communications, promotions, advertisements, spam, or bulk messages
• Use any IGPT Output relating to a person for any purpose that could have a legal, financial, medical, or material impact on that person, including for decisions regarding credit eligibility, education, employment, housing, insurance, legal matters, or medical treatment, without appropriate human review and independent verification.
• Copy, distribute, sell, lease, rent, or sublicense any part of the Services; reverse engineer, decompile, disassemble, or attempt to extract the source code, underlying models, algorithms, systems, or components of IGPT (except to the extent such restriction is prohibited by applicable law); or use the Services for any unauthorized commercial purpose
• Use IGPT Output to develop, train, or improve artificial intelligence models or services that compete with our Services, except where such use is expressly permitted by applicable law

Consequences of Violation. We may suspend or terminate your access to IGPT, temporarily or permanently, with or without notice, for any violation of these Terms, to comply with legal requirements, or to prevent harm to the Services, us, or other users. These Terms will continue to apply following any suspension or termination.

Your Right to Terminate. You may terminate your account at any time by contacting us at chat@spikenow.com. Upon termination, your access to the Services will cease, and we will handle your data in accordance with our Privacy Policy and applicable data retention policies.

Security and Privacy

We place the greatest importance on protecting your privacy and maintaining the security and integrity of your personal information. Please carefully review our Privacy Policy, which explains how we collect, use, and protect your information when you use the Services.

However, like any application or service provider, we cannot guarantee that our security measures will never be defeated or breached by unauthorized third parties seeking to use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.

Software and License

Use of IGPT may require you to download client software, mobile applications, or browser extensions. To use IGPT you must have a compatible device, and we cannot guarantee that IGPT will work on all devices, operating systems, or configurations.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use IGPT for your personal use or internal business operations (as applicable to your account type). Your license is automatically revoked if you violate these Terms. From time to time, we may issue upgraded versions of IGPT software or update the Services. You agree that these Terms will apply to all such upgrades and updates.

Any third-party code that may be incorporated in the application is covered by the applicable open source or third-party license EULA, if any, authorizing the use of such code.

IGPT's Content and Property

We retain our right, title, and interest in IGPT, the Services, and all their components, including, without limitation, patents, trademarks, service marks, copyrights, know-how, software, algorithms, artificial intelligence models, neural networks, machine learning systems, text, design, graphics, logos and all intellectual property rights related to all of these (the "IGPT Rights").

We reserve all rights not expressly granted in these Terms. These Terms do not provide you with any rights to use our trademarks, logos, domain names, or any other brand features. Use of the IGPT Rights for any purpose not expressly permitted by these Terms is strictly prohibited.

You may choose to give us feedback about IGPT or the Services, including ideas and improvements. We welcome and look forward to such submissions. By providing feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback (or a similar concept developed internally or obtained from another source) for any purpose, without any obligation or compensation to you.

Your Content and Property

By using IGPT, you allow us to access, process, and analyze your data from the sources you connect or content you upload, including emails, documents, files, images, calendar data, and other information you provide or authorize us to access (collectively, "User Data").

We do not gain any ownership in your User Data. You retain ownership of any intellectual property rights that you hold in your User Data. These Terms do not give us any rights to your data or intellectual property, except for the limited rights necessary to provide the Services to you, as explained in these Terms. You are and remain responsible and liable for all User Data you provide or authorize us to access, and you represent and warrant that you have all necessary rights, licenses, and permissions to provide such User Data to us or authorize us to access it.

By using IGPT, you authorize us to access your connected data sources and process your User Data to provide the Services, including: (i) accessing and analyzing data from sources you connect (such as email accounts, cloud storage, calendars, or document repositories); (ii) temporarily storing and processing your data to generate responses, insights, and outputs; (iii) performing the specific actions you request through IGPT; and (iv) sharing your data with trusted third-party service providers (including AI service providers) as necessary to deliver IGPT's functionality. Please review our Privacy Policy to understand what information we may share with third parties, and how we protect your data.

Copyright Infringement

You are responsible and liable for your User Data and all content you provide, upload, or authorize us to access through IGPT or the Services. If we receive notices of alleged copyright infringement, we will respond according to the process set in the U.S. Digital Millennium Copyright Act. We reserve the right to suspend your account, delete or disable content alleged to be infringing, and terminate the account of a repeated infringer.

IGPT Output Ownership

Ownership of IGPT Output; Similarity. As between you and us, and to the extent permitted by applicable law, you retain ownership of IGPT Output generated for you based on your inputs and connected data (“IGPT Output”). We hereby assign to you any right, title, or interest we may have in your IGPT Output. Due to the nature of machine learning, IGPT Output may not always be unique and other users may receive similar output from IGPT. IGPT Output generated for other users is not your IGPT Output and you receive no rights in such output.

Disclaimer of Warranties

While we make our best efforts to provide you with satisfactory services, we cannot promise that there will never be problems. IGPT and the Services are provided to you on an "AS-IS" and "AS AVAILABLE" basis, to be used at your own risk and responsibility. To the maximum extent permitted by applicable law, the Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of non-infringement, merchantability or fitness for a particular purpose. Without limiting the foregoing, neither we nor our licensors warrant that the content is accurate, reliable or correct; that any defects or errors will be corrected; that the Services will be available at any particular time or location, uninterrupted or secure; or that the Services are free of viruses, malware or other harmful components. Any content downloaded or otherwise obtained through the use of the Services is downloaded at your own risk and you will be responsible for any damage to your device or system, or for any loss of data resulting from such download or use of the Services.

Limitation of Liability

To the maximum extent permitted by law, in no event will we or our affiliates, officers, employees, agents, suppliers or licensors be liable for (a) any indirect, special, incidental, punitive, exemplary or consequential (including loss of use, data, business, or profits) damages, regardless of legal theory, whether or not we have been warned of the possibility of such damages, and even if a remedy fails of its essential purpose; (b) any claims, proceedings, liabilities, obligations, damages, losses or costs in an amount exceeding the amounts paid by you to us in order to use IGPT and/or the Services (if any) for the past three months. Some jurisdictions do not allow the types of limitations in this paragraph, so they may not apply to you.

Indemnity

You agree to defend, indemnify and hold harmless us and our affiliates, officers, employees, agents, suppliers or licensors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services, including any data or content transmitted or received by you; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any right of privacy or intellectual property rights; (iv) your violation of any applicable law, rule or regulation; (v) any of your User Data or anything that is submitted through your account; or (vi) any other party's access and use of the Services with your username, password or other security code.

Changes and Modifications

We are constantly changing and improving IGPT and the Services. We may add or remove features, and while we will attempt to give advance notice of any major changes, we may stop, suspend, change, or remove content from the Services at any time at our discretion and without prior notice.

We may, in our sole discretion, modify or update these Terms from time to time, so you should review this page periodically. When we change the Terms in a material manner, we will update the 'last modified' date at the bottom of this page. Your continued use of the Services after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these or any future Terms, do not use or continue to access the Services.

Notifications

We may provide to you notifications, whether required by law or for marketing or other business related purposes, via email notice, written or hard copy notice, or through the posting of such notice on our website, as determined in our sole discretion. We reserve the right to determine the form and means of providing notifications to our users. We shall not be responsible for any automatic filter which you or your network provider may apply to email notifications we send to the email address you provide us.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of England and Wales without giving effect to their conflict of law principles. You consent to the exclusive jurisdiction and venue of competent courts in London, UK for any dispute arising from or relating to these Terms or the Services.

Miscellaneous

These Terms constitute the entire and exclusive agreement between you and us with respect to the Services, and supersede and replace any other agreements, terms and conditions applicable to the Services.

These Terms create no third party beneficiary rights.

Our failure to enforce a provision is not a waiver of our right to do so later. If a provision is found unenforceable the remaining provisions of these Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible.

You may not assign any of your rights under these Terms, and any such attempt is void. We may assign our rights under these Terms without restriction. Any attempt by you to transfer any of the rights, duties or obligations hereunder, except as expressly provided for in these Terms, is void.

We and you are not legal partners or agents; instead, our relationship is that of independent contractors.
